1. Acceptance of Terms
By accessing, registering for, or using any services provided by Treja Management LLC, operating as Treja Power SEO™ ("Company," "we," "us," or "our"), you ("Client," "User," or "you") agree to be fully bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any part of these Terms, you are prohibited from using or accessing our services.
These Terms constitute a legally binding agreement between you and Treja Management LLC (Treja Power SEO™). Your continued use of our services following any modifications to these Terms constitutes acceptance of those changes. We recommend reviewing these Terms periodically for any updates.
By accepting these Terms, you represent and warrant that you are at least 18 years of age, have the legal authority to enter into this agreement, and will use our services only in compliance with these Terms and all applicable laws.
2. Description of Services
Treja Power SEO™ provides premium AI-driven search engine optimization (SEO) services — the 2026 AI Search & AEO Authority powered by the APEX Engine™ and POWER Framework™. Our core services include: Managed AI SEO Retainers, Technical SEO & AI Audits, Generative Engine Optimization (GEO / LLM Visibility Optimization for ChatGPT, Gemini, and Perplexity), and ROI Attribution & Tracking Services. Additional offerings include content strategy and creation, Digital Knowledge Network (DKN) buildout, entity optimization, link acquisition, reporting and analytics, and strategic consulting for mid-market B2B and B2C companies. We blend AI-driven insights with expert SEO strategy to accelerate sustainable organic growth.
Our services are subject to change at our discretion. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of services.
Service descriptions, deliverables, timelines, and performance expectations are outlined in individual Statements of Work (SOW) or Service Agreements executed between the Company and the Client. In the event of a conflict between these Terms and a signed SOW, the SOW shall govern with respect to the specific engagement.
3. Interactive Web Applications & AI-Driven Services
A core part of what we deliver — including the APEX Engine™, client dashboards, ROI calculators, and Generative Engine Optimization (GEO) reporting — is built as interactive web applications and AI-driven tooling. These Terms apply fully to that software layer, in addition to the strategic and advisory services described above.
3.1 Service Agreements for AI Features
Where a specific interactive application, dashboard, or AI-powered feature is central to an engagement, the applicable Statement of Work (SOW) or Service Agreement will describe its functionality, supported data sources, and any usage limits (such as API calls, seats, report exports, or data volume). These Terms and that SOW operate together; if there is a direct conflict specific to the application, the SOW controls for that engagement.
3.2 Acceptable Use of Interactive Tools
You agree to use our interactive web applications and AI-driven services only for their intended business purpose. You may not attempt to reverse-engineer, decompile, or extract the underlying models, prompts, or proprietary logic powering these tools; use automated means to scrape, mirror, or overload them; share login credentials outside your organization; or use outputs to train a competing AI system. Violation of this section is treated the same as any other breach of these Terms under Section 8 (Termination).
3.3 Nature of AI-Generated Output
AI-driven recommendations, automated technical audits, generative content drafts, and machine-assisted entity or schema suggestions are decision-support outputs, not guaranteed facts or outcomes. Underlying AI models and search algorithms are operated by third parties and can change without notice, which may affect tool accuracy or availability. You are responsible for reviewing, editing, and approving any AI-assisted deliverable before publication or business use, consistent with the disclaimers in Section 6 (Limitation of Liability).
4. User Accounts and Responsibilities
To access certain features of our services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
You agree not to use our services to: (a) violate any applicable laws or regulations; (b) infringe upon or misappropriate intellectual property rights; (c) transmit harmful, offensive, or disruptive content; (d) engage in deceptive practices; (e) interfere with or disrupt the integrity or performance of our services or related systems; or (f) attempt to gain unauthorized access to any systems or networks connected to our services.
You are solely responsible for all content, data, and information you provide to us in connection with our services, and you represent and warrant that you have all necessary rights to provide such content.
5. Payment and Billing
All fees for services are outlined in your Service Agreement or Statement of Work. Unless otherwise specified, fees are due and payable in advance of the service period. We accept payment via the methods specified in your Service Agreement.
Late Payments: Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances.
Refunds: All fees are non-refundable unless otherwise expressly stated in your Service Agreement. Setup fees, onboarding costs, and any deliverables already provided are non-refundable in all circumstances. If you believe a billing error has occurred, you must notify us within 30 days of the invoice date.
Taxes: Fees quoted do not include applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities in connection with the services, excluding taxes based solely on our net income.
We reserve the right to modify our pricing at any time. For existing clients, pricing changes will be communicated at least 30 days in advance and will take effect at the next renewal period.
6. Intellectual Property
Our Intellectual Property: All proprietary frameworks, systems, methodologies, software, reports, templates, processes, and documentation developed by Treja Power SEO™ — including but not limited to the APEX Engine™, POWER Framework™, Treja Scholar™, and all related components — remain the exclusive intellectual property of the Company. These materials are protected by copyright, trademark, trade secret, and other applicable intellectual property laws.
Client Content: You retain all ownership rights to content, data, and materials you provide to us. You grant Treja Power SEO™ a limited, non-exclusive, royalty-free license to use, reproduce, and modify your content solely to the extent necessary to provide the agreed services.
Work Product: Upon receipt of full payment for the applicable services, and except for our proprietary frameworks and methodologies, custom deliverables specifically created for you under a signed SOW will be owned by you. Any underlying methodologies, templates, or Company IP embedded in such deliverables remain the property of Treja Power SEO™.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit our proprietary materials without our prior written consent.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TREJA POWER SEO™ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
We do not guarantee specific search engine rankings, traffic levels, or revenue outcomes from our services. Search engine algorithms change frequently and independently of our efforts, and results may vary based on market conditions, competition, and other factors outside our control.
Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Treja Management LLC (Treja Power SEO™) and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of our services;
- Content, data, or materials you provide to us;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Your violation of any applicable law or regulation;
- Any misrepresentation made by you in connection with these Terms or our services.
We reserve the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any claim without our prior written consent.
9. Termination
Either party may terminate a service engagement by providing written notice as specified in the applicable Service Agreement. Unless otherwise stated in your Service Agreement, a minimum notice period of 30 days is required for termination of ongoing monthly retainer services.
We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms, fail to pay fees when due, or engage in conduct we determine to be harmful to our business, other clients, or third parties.
Upon termination: (a) all rights and licenses granted to you under these Terms will immediately cease; (b) you must promptly pay all outstanding fees; (c) we will provide you with a reasonable opportunity to retrieve your data and content, subject to outstanding payment obligations; (d) sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, payment obligations, indemnification, and limitation of liability.
We are not liable to you or any third party for any termination of your access to our services in accordance with these Terms.
10. Governing Law
These Terms and any dispute arising out of or related to them or our services shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles.
Dispute Resolution: In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, the parties shall first attempt to resolve the dispute through good-faith negotiation. If such negotiation fails within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Dixon, Illinois, before a single arbitrator. The arbitration award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date and, where appropriate, by notifying you via email or through our client portal.
Your continued use of our services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and notify us in writing in accordance with your Service Agreement.
We encourage you to review these Terms periodically to stay informed of any updates. The most current version of these Terms will always be available at treja.site/terms-of-service/.
